1. Interpretation

“Extended Warranty Quote” means the extended warranty quote that incorporates by reference these Extended Warranty Terms and Conditions.

“Extended Warranty Registration Form” means the form used to register the Selected Warranty, a model of which is currently located at [ ].

“Goods” means the goods described in the Warranty Registration Form.

“Payment” means the full payment of the price in consideration of the Selected Warranty as indicated in our then current price list.

“Services” means the services provided by Us under the Selected Warranty as specified in Clause 2.

“We", "us" our" means PSCo Limited whose registered office is located unit 1 Wellington Industrial Estate, Basingstoke Road, Spencers Wood, Reading, Berkshire RG1 7AW or any contractor appointed by Us.

"Working Hour” means any hour in a Working Day.

“Working Day” means the hours between 9.00 am and 5.00 pm from Monday to Friday except bank/public holidays.

"You" "Your" means the person firm or company who initially instructs Us to provide the Selected Warranty as specified in Clause 2.

“End User” means the individual who will have title to the Goods to which the Services pertain.

2. Services

You may select one of the categories of Services by ticking the appropriate box in the Extended Warranty Quote the description of that Service being currently detailed at [ ] (the “Selected Warranty”).

3. Activating the Selected Warranty

The Selected Warranty shall become active and We will become obliged to provide the Services in accordance with the Selected Warranty to You when We have received from You:

i. the Extended Warranty Quote;

ii. the Payment and

iii. within [thirty (30)] days of purchase of the Services, the Extended Warranty Registration Form duly completed by You or the End User.

4. Duration of the Selected Warranty

The Selected Warranty will be provided to You or the End User subject to who completes the Warranty Registration Form, at the specified premises for a period commencing on the date the Product was first purchased from Us, subject to these terms and conditions.

5. Benefit of the Selected Warranty

The Selected Warranty is specific to the Goods and may therefore be assignable to any person You may resell the Goods to, in accordance with Clause 6 of Our sales terms and conditions (the “End User”). Should You decide to resell the Goods to an End User and assign the Selected Warranty to such End User, You shall ensure that such End User provides Us with

the applicable Extended Warranty Registration Form completed with the details of such End User (“End User Information”). The Service is not assignable or transferable by the End User.

6. Selected Warranty limitations

The Services shall not be provided if:

  • the Selected Warranty has not been activated as specified in Clause 2 above; and/or
  • if applicable, the End User Information has not been provided to Us; and/or
  • the Goods have been situated in a position or applied for a purpose outside the scope of the relevant Selected Warranty.

The Selected Warranty shall be limited to the Services for the relevant Selected Warranty and excludes any services not expressly mentioned on Our Website for the relevant Selected Warranty.

In particular, the Selected Warranty shall not apply in event that:

  • the number of tiny black points and/or bright points (“Faulty Pixels”) does not exceed that specified by the manufacturer, in the manufacturer guidelines available from Us on request or via Our website currently located at www.psco.co.uk, as being within normal parameters;
  • afterimage or ghost image appears on the display resulting on the same still image being displayed for any extended period of time;
  • variance in colour, brightness and contrast appear on individual screens.

The Selected Warranty shall not apply to any faults caused by:

  • incorrect installation, cleaning, abuse, misuse or inappropriate use of the Goods or use in an appropriate, adverse or abnormal environment;
  • an event of force majeure as set forth in Clause 11;
  • faulty or poor quality cabling, faulty media input devices, unstable or faulty power input and or any other device connected or
  • any faults arising due to the fact that You have breached Your obligations under Clause 7 below.

Any and all faults caused by any of the above will be charged for at the then current rate for such work, as well as the cost of any spare parts required.

7. Your obligations

You shall:

  • at all times keep the Goods in the environmental conditions recommended by the manufacturer of the Goods;
  • use the Goods only in accordance with such instructions and recommendations relating to the care and operation of the Goods as may be issued by the manufacturer of the Goods or by Us;
  • install the Goods in a suitable environment or, in the event the Goods have been installed by Us, not move, without obtaining Our prior written consent, the Goods from the location where We have installed the Goods;
  • not allow any person other than Us or any of Our contractors to adjust, maintain, repair, replace or remove any part of the Goods;
  • nsure that Our representatives have full and free access to the Goods and to any records of its use kept by You to enable Us to perform Our duties;
  • provide Us with such information concerning the Goods, Your application, use, location and environment as You may reasonably request to enable it to carry out its duties;
  • take all such steps as may be necessary to ensure the safety of any of Our representatives who visit any of Your premises.

8. Warranty

We warrant only that We will provide the Service that conforms to generally accepted industry standards and practices. No warranty is given in respect of results or outcomes that may be obtained.

The warranty set out herein is exclusive and in lieu of all other conditions, terms or warranties, whether express or implied, including the implied conditions of satisfactory quality and fitness for a particular purpose.

9. Liability

i. Our liability for death or personal injury resulting from Our negligence or that of Our employees; or in relation to any other liability which may not by applicable law be excluded or limited is not excluded or limited.

ii. Subject to Clause 9(i), Our liability under or in relation to these terms and conditions (whether for negligence, breach of contract or otherwise) shall be limited to an amount equal to the aggregate fee for the Services paid or payable under these terms and conditions.

iii. Subject to Clause 9(ii) above, We accept no liability under or in relation to these terms and conditions (whether such liability arises due to negligence, breach of contract, misrepresentation or for any other reason) for any loss of profits or any indirect, special, or consequential loss, damage, costs, expenses or other claims (whether caused by Our negligence) which arise out of or in connection with the provision of the services under the Selected Warranty or their use by You.

10. Temporary Replacements

10.1 We may subject to the level of Selected Warranty provide You with a temporary replacement equipment of similar functionality on loan whilst We repair the faulty item which is under warranty.

10.2 All items provided on loan shall be held by You or the End User, dependent on whom they are delivered at their risk, title to those items shall not pass.

11. Force Majeure

We shall not be liable to You or be deemed to be in breach of these terms and conditions by reason of any delay in performing, or any failure to perform, any of Our obligations in relation to the services under the Selected Warranty, if the delay or failure was due to any cause beyond Our reasonable control and which could not have been avoided through the exercise of reasonable care, such as acts of God, acts or omissions of civil or military authorities, fires, floods, power surges or outages, epidemics, quarantine restrictions, war, riots, strikes, or the unavailability of necessary labor, materials, or manufacturing facilities.

12. Early termination

We may, in our absolute discretion, terminate the Services immediately on notice to You if:

  • You are in material breach of any of these terms and conditions.
  • You cease or threaten to cease carrying on business or become bankrupt or insolvent, receivership or go into liquidation or administration or compulsory winding up proceedings are commenced or if you make any voluntary arrangement with creditors.
  • You or the End User fail to enable us to safely access the Goods to deliver the Services.

The termination of the Services shall be without prejudice to any other right or remedy We may have.

13.Miscellaneous

These terms and conditions constitute the entire agreement between You and Us and supersede any prior written or oral agreement in relation to the Services and You and We confirm that You and We have not entered into these terms and conditions on the basis of any representation that is not expressly incorporated into these terms and conditions.

Any failure by Us to enforce a breach of these terms and conditions by You shall not deemed to be a waiver of any subsequent breach of these terms and conditions that You may make.

Each provision of these terms and conditions is independent and severable from the remaining provisions and enforceable accordingly. If any provision of these terms and conditions is unenforceable for any reason but would be enforceable if part of the wording of the provision was deleted, it shall apply with such deletions as may be necessary to make it enforceable.

Nothing in these terms and conditions shall create or be deemed to create a partnership or joint venture between You and Us or the relationship of principal and agent or employer and employee.

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales and You and We agree to submit to the exclusive jurisdiction of the English Courts.

For the avoidance of doubt, these terms and conditions can be enforced by the initial End User. Save for the initial End User no third party shall be afforded any rights under these terms and conditions.
